Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Soundyaad Digital Ltd, a company registered in the Federal Republic of Nigeria ("Soundyaad," "we," "our," or "us"), governing your access to and use of the Soundyaad platform and related services (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Soundyaad is a release operating system designed for independent African artists, providing tools for music promotion, fan engagement, and career growth.

2. Eligibility

To use Soundyaad, you must be at least 16 years old and have the legal capacity to enter into these terms. By using our services, you represent that you meet these requirements.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

  • Upload content that you do not have the right to share or that infringes on others' intellectual property
  • Use the platform for any illegal or unauthorized purpose
  • Interfere with or disrupt the platform or servers
  • Attempt to gain unauthorized access to any part of the platform
  • Use automated systems to access the platform without permission
  • Harass, abuse, or harm other users
  • Upload malware or malicious code
  • Impersonate any person or entity

5. Your Content

5.1 Ownership & License Grant

You retain all ownership and intellectual-property rights in content you upload to Soundyaad, including music, artwork, and promotional materials ("Your Content").

You grant Soundyaad a limited, worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (technical format only), publicly display, and transmit Your Content solely as reasonably necessary to operate, provide, and improve the Platform and the specific features you have enabled (for example, displaying your release artwork on your public smart-link page). This licence ends when you or we remove the relevant content or close your account, except for copies we must retain to comply with law or to enforce these Terms.

5.2 Representations

You represent and warrant that:

  • You own or have the necessary rights to your content
  • Your content does not infringe on any third party's rights
  • Your content complies with all applicable laws

5.3 Fan Data

Fan data collected through your release pages, pre-saves, and bio sites belongs to you. You are responsible for complying with applicable data protection laws when using this data. You agree not to use fan data for spam or any illegal purpose.

6. Music Distribution

When you use our pre-save and smart link features, we interact with third-party music platforms (Spotify, Apple Music, Audiomack, Boomplay, etc.) on your behalf. You agree to comply with each platform's terms of service.

7. Intellectual Property

The Soundyaad platform, including its design, features, software, and content (excluding user-submitted content), is owned by Soundyaad Digital Ltd and its licensors and is protected by intellectual-property laws. You may not copy, modify, reverse-engineer, or create derivative works of any part of the Platform without our prior written permission.

7A. Copyright & DMCA-style Takedown

Soundyaad respects the intellectual-property rights of others and requires users to do the same. If you believe content on the Platform infringes your copyright or other IP rights, send a written notice to legal@soundyaad.com including:

  • A description of the copyrighted work or right you claim has been infringed;
  • The exact URL or sufficient identifying information for the allegedly infringing content;
  • Your full legal name, postal address, phone number, and email;
  • A statement that you have a good-faith belief that the use is not authorised by the rights-holder, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are (or are authorised to act on behalf of) the rights-holder;
  • Your physical or electronic signature.

We will investigate valid notices promptly and may remove or disable access to the content. Repeat infringers may have their accounts terminated. If you believe your content was removed in error you may submit a counter-notice following the same procedure. Knowingly false notices may expose you to liability for damages.

7B. Billing, Subscriptions & Refunds

7B.1 Paid Plans

Paid plans are offered on a monthly or annual recurring basis and are billed in advance in the currency shown at checkout. Subscriptions automatically renew at the end of each billing period at the then-current price until you cancel. You authorise Soundyaad and its payment processors (currently Flutterwave and NOWPayments) to charge your chosen payment method for all applicable fees and taxes.

7B.2 Cancellation

You may cancel at any time from your account settings or by emailing billing@soundyaad.com. Cancellation takes effect at the end of the current billing period; you will continue to have paid access until then and will not be billed again.

7B.3 Refunds

Subscription fees are generally non-refundable except where required by law. If you believe you were charged in error, contact billing@soundyaad.com within 14 days of the charge and we will review your request in good faith.

7B.4 Credits & One-off Purchases

Platform credits and other one-off purchases are delivered digitally and are non-refundable once issued, except where required by law or where the purchase failed to deliver.

7B.5 Price Changes

We may change subscription prices from time to time. Price changes to your existing subscription will not take effect until your next renewal, and we will notify you by email at least 30 days in advance.

8. Termination

We may suspend or terminate your account if you violate these terms or for any other reason at our discretion. You may also delete your account at any time. Upon termination:

  • Your access to the platform will be revoked
  • Your release pages and bio sites may be deactivated
  • You may request export of your fan data before termination

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDYAAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

11. Indemnification

You agree to indemnify and hold harmless Soundyaad and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

12. Changes to Terms

We may update these Terms from time to time. For material changes we will provide reasonable advance notice (typically at least 30 days) by email or in-product notice before the new terms take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Platform and may cancel any active subscription per Section 7B.2.

13. Governing Law & Venue

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of Lagos State, Nigeria, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable consumer-protection rights you may have under the laws of your country of residence.
