1. Acceptance of Terms

By accessing or using Soundyaad ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Soundyaad is a release operating system designed for independent African artists, providing tools for music distribution, fan engagement, and career growth.

2. Eligibility

To use Soundyaad, you must be at least 16 years old and have the legal capacity to enter into these terms. By using our services, you represent that you meet these requirements.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

  • Upload content that you do not have the right to share or that infringes on others' intellectual property
  • Use the platform for any illegal or unauthorized purpose
  • Interfere with or disrupt the platform or servers
  • Attempt to gain unauthorized access to any part of the platform
  • Use automated systems to access the platform without permission
  • Harass, abuse, or harm other users
  • Upload malware or malicious code
  • Impersonate any person or entity

5. Your Content

5.1 Ownership

You retain ownership of all content you upload to Soundyaad, including music, artwork, and promotional materials. By uploading content, you grant us a license to use, display, and distribute your content solely for the purpose of providing our services.

5.2 Representations

You represent and warrant that:

  • You own or have the necessary rights to your content
  • Your content does not infringe on any third party's rights
  • Your content complies with all applicable laws

5.3 Fan Data

Fan data collected through your release pages, pre-saves, and bio sites belongs to you. You are responsible for complying with applicable data protection laws when using this data. You agree not to use fan data for spam or any illegal purpose.

6. Music Distribution

When you use our pre-save and smart link features, we interact with third-party music platforms (Spotify, Apple Music, Audiomack, Boomplay, etc.) on your behalf. You agree to comply with each platform's terms of service.

7. Intellectual Property

The Soundyaad platform, including its design, features, and content (excluding user content), is owned by Soundyaad Inc. and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

8. Termination

We may suspend or terminate your account if you violate these terms or for any other reason at our discretion. You may also delete your account at any time. Upon termination:

  • Your access to the platform will be revoked
  • Your release pages and bio sites may be deactivated
  • You may request export of your fan data before termination

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDYAAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

11. Indemnification

You agree to indemnify and hold harmless Soundyaad and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page. Your continued use of the platform after changes take effect constitutes acceptance of the new terms.

13. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
